The Role
This role will be responsible for all legal matters across all countries Banyan Group has a presence in. Your purview spans all major corporate transactions, litigation, intellectual property, legal compliance and data protection.
Job Responsibilities
Leads team in providing legal advice and review of corporate transactions, negotiations, intellectual property and disputes of all entities globally
Assist both the board and senior management in making major decisions, including operational ones
Drafting of a wide variety of legal contracts and documents to ensure all major corporate transactions (including all financing, MTN, joint ventures, property sales and tender offers) are undertaken smoothly and in compliance with applicable law
Review operational contracts (HMAs, DSAs, TSAs) and provide relevant advice and drafting where required
Ensuring all disputes are resolved in a business-sensible manner, including all litigation and arbitration cases.
Protecting the company’s branding through intellectual property law: registrations, oppositions, infringement actions etc.
Ensuring the company is compliant with international legal regimes (eg. GDPR, US Justice Department sanctions)
Secondary
Anticipate and identify legal areas of concern to the company and develop strategies
Assist in building up awareness of relevant and common laws for our hotel operations staff (Eg. Post-accident liability, GDPR) through alerts and notifications, among other measures
Control legal costs and ensure quality legal work is still produced.
Write and review new policies for the company where applicable
Keep the board updated on major legal matters on a quarterly basis
Job Requirements
At least 10 years of experience in both law firm and in-house with a top-tier MNC or listed company (Mainboard)
Experience in drafting and negotiating a wide range of commercial contracts
Experience in managing a wide variety of disputes
Bachelor degree in law with honours from a Scheduled/approved university as per the Legal Profession (QP) Rules or Juris Doctor equivalent
Must be admitted to the Singapore Bar with the right to practice as an Advocate & Solicitor
Admission to the Bar (or relevant equivalent) in other APAC jurisdictions and the UK may be viewed favorably
Excellent analytical and legal skills
